Terms of Service

Welcome to Meshii. These Terms of Service (“Terms”) govern your access to and use of the Meshii website and application (the “Service”), operated by Meshii LLC (“Meshii,” “we,” “us,” or “our”).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using Meshii, you represent and warrant that you are 18 or older, have the legal capacity to enter into these Terms, and will comply with all applicable laws and regulations.

2. Description of Service

Meshii is a social dining platform that connects users with compatible dining companions at restaurants they both want to try. The Service includes:

• A user profile and companion (“+1”) preference system
• Virtual waitlists at partner and curated restaurants
• An algorithmic matching system to suggest compatible dining companions
• In-app messaging between confirmed matches
• Optional paid subscription features (Meshii Pro)

Meshii does not make restaurant reservations. Matching two users at a restaurant does not constitute a reservation. Users are responsible for coordinating bookings directly with the restaurant.

3. Accounts

Registration

You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

One Account Per Person

Each person may maintain only one Meshii account. Creating duplicate or fake accounts is prohibited and may result in permanent suspension.

Account Security

Notify us immediately at hello@meshiiapp.com if you believe your account has been compromised. We are not liable for losses resulting from unauthorized use of your account.

4. User Conduct

You agree not to:

• Post false, misleading, or fraudulent profile information or photos
• Impersonate any person or entity
• Harass, threaten, intimidate, stalk, or harm other users
• Solicit money from other users or engage in commercial activity
• Share another user's personal information without their consent
• Use the Service for any unlawful purpose
• Attempt to reverse-engineer, scrape, or disrupt the Service or its infrastructure
• Upload content that is obscene, defamatory, or infringes third-party intellectual property rights

Violation of these rules may result in immediate account termination and, where appropriate, referral to law enforcement.

5. User Content

You retain ownership of the content you submit (profile text, photos, blurbs). By submitting content, you grant Meshii a non-exclusive, worldwide, royalty-free license to store, display, and use that content solely for the purpose of operating and improving the Service.

You represent that you own or have the right to use all content you submit, and that your content does not violate any third-party rights or applicable law.

6. Subscriptions and Payments

Plans

Meshii offers a free plan, Walk-in, with limited functionality. Paid plans are The Regular at $11.99 per month and Chef's Table at $19.99 per month. Chef's Table is not yet available. Each plan carries its own limits on active waitlists, +1 profiles and how much of your Looking for You list is shown; the current limits are set out on our pricing page and in the app, and are subject to change with reasonable notice.

Subscriptions are billed monthly and automatically renew until cancelled.

Priority Pass

A Priority Pass is a one-time purchase, not a subscription. It does not renew and nothing is charged again. It lasts 24 hours from purchase, during which it shows you more of your Looking for You list and raises your active waitlist limit, in each case by the amounts stated at the time of purchase. Any waitlist you join while a pass is active remains active until you leave it. When the pass expires, only the unused additional allowance ends and your plan's usual limits apply again. The number of people shown is a maximum and depends on how many qualifying diners exist at the time.

Billing

Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. All charges are in US dollars.

Cancellation

You may cancel your subscription at any time through the Billing section of the app or by contacting us. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

Launch and Founding Member Access

Users designated as early or founding members may receive full Pro-level access at no charge during a promotional period. We reserve the right to modify or end this access with 30 days' notice.

Price Changes

We may change subscription pricing with at least 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

7. No Guarantee of Matches

Meshii provides a platform to facilitate introductions — we do not guarantee that you will be matched with anyone, that any match will lead to a successful dining experience, or that you will have a positive interaction with any other user. You use the matching features at your own risk and exercise your own judgment when meeting other users in person.

Always meet in public. Tell someone where you are going. Trust your instincts.

8. Intellectual Property

All trademarks, logos, software, design elements, and content produced by Meshii are our exclusive property. Nothing in these Terms grants you a right to use our intellectual property outside of using the Service as intended.

9. Disclaimers

As-Is Service

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

To the maximum extent permitted by California law, Meshii and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or personal injury arising from your use of the Service or interactions with other users.

Our total cumulative liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $50 USD.

11. Indemnification

You agree to indemnify, defend, and hold harmless Meshii and its operators from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Termination

You may delete your account at any time. We may suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature survive termination (including Sections 5, 8, 9, 10, 11, and 14) will remain in effect.

13. Dispute Resolution

Informal Resolution

Before filing any formal dispute, you agree to contact us at hello@meshiiapp.com and give us 30 days to attempt informal resolution.

Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law provisions. Any dispute not resolved informally shall be brought exclusively in the state or federal courts located in California.

Class Action Waiver

To the extent permitted by law, you waive any right to bring claims as a plaintiff or class member in any class or representative action.

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Meshii regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Changes to Terms

We may modify these Terms at any time. Material changes will be communicated with at least 14 days' notice via email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
